Terms of Service and Refund Policy

Validity: Speitra’s offer to provide products or services (“Offer”) to the named customer (“Customer”) is valid until expiry date stated on the Offer, unless retracted by Speitra. To confirm, Customer must place a formal Purchase Order, with approval by a person authorised to enter into agreement under the terms of this Offer. “Customer” refers to the entity as well as the person issuing Purchase Order.

This Offer is subject to software, service or other renewal or eligibility. Products and/or services quoted are also subject to specific terms of license and delivery agreements, including but not limited to Terms, Conditions and Statement of Work specific to this Offer as outlined in this document. By confirming this order, the Customer accepts these terms in their entirety with no exception or alternate condition.

Professional Service Delivery Scope: If attached to this Offering, Speitra’s professional services (“Professional Services”) will be limited to scope defined in the Statement of Work ("SOW"). Nothing stated elsewhere supersedes the scope defined within the SOW. Where this Offer includes Professional Services or Support programs for third party products or services ("TPPS"), whether or not those TPPS were provided by Speitra or another party, the said TPPS must be covered under a valid license or subscription program recognised by its vendor or manufacturer granting a legal right of use to the Customer. Speitra reserves the right to withhold support for such TPPS where Speitra in its sole authority may determine that the Customer does not have such right of use to the said TPPS.

Authorisation from Customer: By confirming this order, the customer authorises Speitra to subject designated systems to the aforementioned services, and that if it is not owner of the systems, it has obtained such right from the legal owner. Speitra does not offer guarantees of any form that its own or TPPS, will provide coverage against attacks nor provide without limitation, warranties of merchantability and fitness for a particular purpose and non-infringement.

Pricing: Prices are quoted in United States Dollars (USD).

Currency Fluctuations: Speitra reserves the right to alter, withdraw or revoke any offering if it solely determines that foreign exchange rates have changed, regardless of the currency in which prices are quoted. 


Subscriptions: Where the Offer involves a subscription for a product with periodical payments, such as monthly or annual, the Customer agrees to provide payment details such as bank account or credit card for direct debit. Speitra’s bank or payment processors may levy a dishonour fee if the Customer’s account holds insufficient funds.

Service Term: By confirming this order, the customer agrees that it enters into an agreement for period no less than that which is specified under ‘Service Term’ for each service ordered. If the customer terminates its service prior to the lapse of the complete service term, it becomes liable to the service fees of the remaining period. Any variation to this clause is determined solely and exclusively by Speitra.

Payments: Unless specific payment milestones are defined in the Offer, full payment against invoice must be received together with order confirmation for single orders. For subscriptions, payments are made in advance, at the beginning of each subscription period (ie: beginning of each month of service, for monthly subscriptions). Speitra requires that payment be received at its bank account in full, without any amount being deducted, withheld or adjusted. Speitra reserves the right to suspend or terminate service where payments are not received in a timely and reasonable manner.

Billing: By providing Speitra with a payment method, the customer: (i) represents that they are authorised to use the payment method that they provided and that any payment information provided is true and accurate; (ii) authorise Speitra to charge for any products, services or available content purchased using the payment method; and (iii) authorise Speitra to charge the Customer for any paid feature that they choose to sign up for or use. The Customer agrees to promptly update their account and other information, including email address and credit card numbers and expiration dates, so that Speitra may complete transactions and contact the Customer as needed in connection with their transactions. 

Speitra may bill the Customer (a) in advance; (b) at the time of purchase; (c) shortly after purchase; or (d) on a recurring basis for subscriptions. Also, Speitra may charge the Customer up to the amount they have approved and will notify the Customer in advance and in accordance with the terms of the subscription of any change in the amount to be charged for recurring subscriptions. 

Speitra may bill the Customer at the same time for more than one of their prior billing periods for amounts that haven't previously been processed. 

If the Customer is taking part in any trial-period offer, they must cancel the service by the end of the trial period to avoid incurring new charges unless Speitra notifies them otherwise. If the Customer does not cancel the service at the end of the trial period, they authorise Speitra to charge the payment method for the product or service.

Recurring Payments: When purchasing products, services or content on a subscription basis (e.g., weekly, monthly, every 3 months, or annually (as applicable)), the Customer acknowledges and agrees that they are authorising recurring payment, and payments shall be made to Speitra by the method they have chosen at the recurring intervals chosen, until the subscription is terminated by the Customer or by Speitra or otherwise in accordance with its terms. By authorising recurring payments, the Customer is authorising Speitra to process such payments as either electronic debits or fund transfers, or as electronic drafts from the Customer’s designated account (in the case of Automated Clearing House or similar payments), or as charges to the Customer’s designated account (in the case of credit card or similar payments) (collectively, "Electronic Payments"). Subscription fees are generally billed or charged in advance of the applicable subscription period. If any payment is returned unpaid or if any credit card or similar transaction is rejected or denied, Speitra or its service providers reserve the right to collect any applicable return item, rejection or other fees as permitted by applicable law.

Disclaimer and Liability: Speitra will engage in a responsible and professional manner, in accordance with its own and industry’s best practices. The Customer will not hold Speitra liable for any indirect, punitive, incidental, or consequential damage, including but not limited to loss or damage - to business, revenue, profits, data or other economic advantage, however it arises, whether for breach or in tort, directly or in consequence, at the time of the engagement or at a later time, even if Speitra has been previously advised of the possibility of such damage, arising by reason of or in connection with any matters covered by this Offer.

Where terms of this limitation of liability is not permitted or valid under the law in effect, the specific terms in question will be retracted while all other terms will remain in effect. Where applicable and legally required, Speitra’s total maximum liability to the customer for any cause whatsoever under this Offer, shall be limited to the total paid by the customer under this Offer. This provision shall survive termination or expiration of the Offer or any subsequent agreement.

Governing Law: The terms of this agreement are governed and enforced under laws of the State of Victoria in the Commonwealth of Australia.

Entirety of Agreement: These Terms and Conditions, Statement of Work (if included) and Offering form entirety of agreement between parties related. No change, alterations or modifications shall be valid.
